GuyWay Inc. operates a technology platform that connects riders with independent drivers/transport providers. By accessing or using the Platform or requesting a Trip, you agree to these Terms. Nothing in these Terms is intended to remove any non-waivable consumer rights under Guyanese law.

Definitions

“App” means the GuyWay mobile application(s). “Platform” means the App and our websites. “Rider” means a user requesting a trip. “Driver” or “Provider” means an independent transport provider using the Platform. “Trip” means a transportation service arranged through the Platform.

1. Acceptance

These terms form a binding agreement between you and GuyWay Inc.. By accessing or using the Platform or requesting a Trip, you agree to these Terms.

2. The GuyWay Service

GuyWay provides a technology platform enabling Riders to request Trips with independent Drivers/Providers. Unless explicitly stated otherwise, GuyWay does not provide transportation services and is not a carrier. Transportation services are provided by independent Drivers/Providers, who are responsible for the Trip.

3. Eligibility and Accounts

• You must be legally capable of entering a contract under Guyanese law.
• You must provide accurate information and keep your account updated.
• You are responsible for activity on your account and safeguarding your login credentials.
• We may require verification and may refuse registration where fraud or misuse is suspected.

4. User Conduct

• You agree to use the Platform safely and lawfully. You must not:
• use the Platform for unlawful purposes or to transport illegal goods;
• harass, threaten, or discriminate against others;
• damage vehicles, property, or equipment;
• attempt to hack, scrape, reverse engineer, or interfere with the Platform;
• misrepresent your identity, location, or payment information.

5. Fares, Fees, Tips and Payments

Fares are generally calculated based on distance, time, and additional factors such as demand, tolls, and applicable taxes/fees. When available, we display an upfront fare estimate before you confirm. All amounts are shown in GYD unless otherwise stated.

• Payment methods: You may pay using methods shown in the App (e.g., cards, wallets, or other options).
• Tips: If tips are enabled, they are voluntary.
• Receipts: We may send digital receipts by email or in-app.
• Charge disputes: Contact Support@guyway.gy. Chargebacks or repeated payment failures may lead to suspension.

6. Cancellations, No-Shows and Refunds

Cancellation or no-show fees may apply depending on timing, driver arrival, and local conditions. Refunds are assessed case-by-case.

Where Guyanese consumer protection rules apply, nothing here limits non-waivable consumer rights.

7. Ratings and Feedback

The Platform may allow Riders and Drivers to rate each other and submit feedback. Ratings help improve safety and service quality. We may investigate reports and take action including warnings, suspensions, or removal from the Platform.

8. Driver/Provider Terms

Onboarding and background checks: Drivers/Providers must complete onboarding and may be subject to background checks and ongoing compliance reviews.

Standards and compliance: Drivers/Providers must comply with Guyanese traffic laws and any applicable permits, licensing, and insurance requirements.

Independent contractor: Drivers/Providers are independent contractors (or independent businesses). No employment or agency relationship is created.

9. Safety

• Wear seatbelts and follow safety instructions.
• In emergencies, contact local emergency services first.
• Although GuyWay may implement safety features and screening, we cannot guarantee the conduct of any user or Provider.

10. Third-Party Services

The Platform may rely on third-party services (e.g., maps, payment processors). Those services may have their own terms and policies. GuyWay is not responsible for third-party services outside our reasonable control.

11. Intellectual Property

GuyWay or its licensors own the Platform and Content. You receive a limited, revocable, non-exclusive licence to use the Platform for personal, non-commercial use.

12. Privacy

Our processing of personal data is described in our Privacy Notice. By using the Platform, you acknowledge that we process personal data in accordance with that notice and applicable Guyanese law.

13. Suspension and Termination

We may suspend or terminate access if we reasonably believe you violated these Terms, pose a safety risk, engaged in fraud, or where required by law. You may stop using the Platform at any time.

14. Disclaimers

The Platform is provided “as is” and “as available”. To the fullest extent permitted by law, GuyWay disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the extent permitted by law, GuyWay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Where liability cannot be excluded, it will be limited to the minimum amount permitted by applicable law.

16. Indemnity

You agree to indemnify and hold harmless GuyWay Inc. and its officers, directors, employees, and agents from claims arising out of your use of the Platform, your violation of these Terms, or your violation of any law or third-party rights.

17. Governing Law and Disputes

The laws of Guyana govern these Terms. Disputes will be brought in the courts located in Guyana, unless otherwise required by law.

Where permitted, the parties may agree to arbitration under Guyana’s arbitration laws.

18. Electronic Communications

You consent to receive communications electronically (e.g., email, SMS, and in-app notices). You agree that electronic records, signatures, and communications may satisfy legal requirements.

19. Changes to Terms

We may update these Terms from time to time. If we do, we will update the “Last updated” date and may provide additional notice. Continued use means you accept the updated Terms.

20. Miscellaneous

• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Assignment: You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
• No waiver: Failure to enforce a provision is not a waiver.
• Entire agreement: These Terms and referenced policies form the entire agreement regarding the Platform.
