1. The deal
By creating an account, opening the app, or requesting a ride, you agree to these Terms. If you don’t, please don’t use GuyWay. Easy enough.
These Terms form a binding contract between you and the GuyWay entities named in Section 2. You should read all of it — but Section 16 (arbitration and class-action waiver) is the one most people miss, so we’ve made it impossible to miss.
Nothing in these Terms removes rights you have under Guyanese law that can’t be waived by agreement — including rights under the Consumer Affairs Act 2011. If anything here conflicts with a non-waivable right, the non-waivable right wins.
2. Who you’re contracting with
GuyWay is operated by two sister companies. This isn’t a trick — it’s how the business is built. One runs the marketplace that connects you with drivers; the other owns, maintains, and insures the vehicles drivers use.

When you request a ride, your counterparty is GuyWay Corp. It owns and operates the app and the rider platform, and runs the marketplace that matches you with an independent driver. Your booking, your receipt, and any dispute about a trip or the service all sit with Corp. This is the same marketplace structure used by global ride platforms.

GuyWay Inc. is the fleet manager. It owns, maintains, and insures the vehicles used on the platform, and leases them to the independent drivers who operate on the GuyWay Corp. marketplace. Inc. does not contract directly with riders.
For short, in these Terms “GuyWay”, “we”, “us” or “our” refers to GuyWay Corp. as your counterparty. Where a right or obligation belongs specifically to GuyWay Inc., we name it explicitly.
It separates the technology and marketplace business (software, data, rider relationship) from the local fleet business (vehicles, insurance, maintenance). GuyWay Corp. is built to scale across the Caribbean region and the Guyanas; GuyWay Inc. operates the fleet on the ground in Guyana.
3. Words we use
Shorthand that keeps the rest of this document readable.
- App
- The GuyWay mobile application for riders (and the separate app for drivers).
- Platform
- The App plus our websites and any other GuyWay-branded technology you interact with.
- Rider
- You, when you’re using the App to request a ride.
- Driver
- An independent contractor who uses our driver App to accept and complete trips. Drivers are not our employees or agents.
- Trip
- A specific ride between a pickup and a drop-off, as requested, accepted and completed through the Platform.
- Fare
- The price of a Trip as quoted in the App before you confirm the booking — not “surge” pricing.
- Content
- Text, ratings, photos, audio or anything else you submit to the Platform.
4. Your account
Who can have one
- You must be 18 years or older.
- You must have the legal capacity to enter a contract under Guyanese law.
- You must give us accurate, up-to-date information — and update it if it changes.
- One account per person. No sharing credentials or transferring your account to someone else.
Minors in the car
GuyWay is for adults. If you’re booking a ride for a passenger under 18, an adult 18+ must be in the vehicle with them. Drivers can refuse to start a Trip where this isn’t the case, and the cancellation fee in Section 7 will apply.
Keeping your account safe
You are responsible for what happens under your account, including trips booked from it and payments charged to it. If you think someone else has accessed your account, contact support@guyway.gy immediately and change your password.
5. How rides work
Requesting
When you submit a ride request, you’re making an offer to book a Trip at the Fare shown. The contract forms when a Driver accepts the request. Until that moment, either side can walk away at no charge.
Upfront, fixed Fares
We don’t do surge pricing. The Fare you see in the App before you confirm is the Fare you pay — unless:
- You change the drop-off mid-trip, add a stop, or take a significant detour at your request;
- The Trip takes materially longer than estimated because of a request you made, extended wait time for you, or waiting for you at a stop;
- A toll, bridge fee, or similar third-party road charge applies — in which case it’s added at cost, no mark-up;
- Damage or cleaning fees under Section 10 apply.
In those cases the App will show the adjusted Fare after the Trip so you can review it before the charge settles.
Route choice
The Driver chooses the route they believe is safest and most efficient. You can suggest a route; the Driver can take it or explain why not. The upfront Fare covers reasonable routing — see the exceptions above.
What GuyWay does — and doesn’t do
GuyWay provides a technology platform. We connect Riders with independent Drivers. We do not perform the transportation ourselves. GuyWay Inc. owns the vehicles used on the Platform and contracts separately with Drivers; the Trip itself is carried out by the Driver, who is legally responsible for the driving, the route executed, and their conduct during the Trip.
This is a material part of the deal: if you’re not comfortable with it, don’t use GuyWay.
6. Payment, tips & receipts
How you pay
All Fares are charged through the App to the payment method on file. We accept:
- Credit and debit cards (Visa, Mastercard)
- Apple Pay
- Google Pay
- MMG and other mobile money providers operating in Guyana, as we add them
- Cash, with drivers who opt in (cash-accepting cars are flagged in the app)
- GuyWay credit balance (from promotions, referrals, or goodwill)
Tips can be given in cash if you wish (see below).
GuyWay as limited payment agent
For the portion of the Fare that belongs to the Driver, GuyWay Corp. collects it on behalf of GuyWay Inc. and the Driver, and remits it in accordance with its arrangement with them. This does not make us the transport provider, and does not change who is responsible for the Trip.
Tips
Tips go 100% to the Driver. We don’t take a cut of tips. You can tip in-app after a Trip for up to 30 days, or in cash during the Trip.
Receipts
A receipt is emailed to you after every Trip and stored in your account. If your employer or accountant needs a specific format, write to support@guyway.gy.
Taxes
Applicable Guyanese taxes on the transportation service are included in the Fare and remitted by GuyWay Inc. Taxes on the technology fee, where applicable, are charged by GuyWay Corp.
7. Cancellations & no-shows
Rides get cancelled. Life happens. These are the rules we play by.

Fees pay the Driver for their time and fuel. We review waived fees case-by-case — if the cancellation wasn’t your fault, contact support.
8. Refunds & chargebacks
When we refund automatically
- Duplicate charges for the same Trip.
- Failed Trips where the Driver never arrived and didn’t cancel.
- System errors that caused a charge without a Trip.
When we’ll review a refund request
- Materially different Trip than you requested (wrong destination, route forced by Driver).
- Driver misconduct that made the Trip unusable.
- Damage or cleaning fees you dispute — we’ll look at the evidence from both sides.
Contact support@guyway.gy within 30 days of the Trip. We’ll respond within 5 business days.
Chargebacks
If you’re considering a chargeback with your bank, please talk to us first — we almost always settle things faster than your bank can. If a chargeback is filed in bad faith (meaning: for a Trip you actually took, to a destination you actually reached), we may suspend your account under Section 14 and pursue recovery, including through Section 16.
9. Drivers are independent
This section is important. Please read it.
Drivers are independent contractors, not employees, agents, partners, franchisees, or joint venturers of either GuyWay entity. They decide when they work, where they drive, and which trips to accept. They run their own transport business; we run the technology that connects them with Riders.
This means, among other things:
- GuyWay does not pay Drivers wages, sick leave, vacation pay, or other employment benefits. There is no employment contract between GuyWay and a Driver.
- Drivers decide, in their sole discretion, whether to accept a Trip request.
- Drivers are responsible for their own taxes, licenses, and compliance with local transport law — though GuyWay Inc. verifies licences, insurance, and police clearance before allowing anyone to drive on the Platform (see Section 11).
- Where the vehicle used on the Trip is owned by GuyWay Inc., the Driver operates it under a separate written agreement with Inc. (typically a vehicle-lease or profit-share arrangement). Riders are not party to that agreement and have no rights or obligations under it.
10. How to behave
We keep this simple so there’s no ambiguity when something goes wrong.
What you must do
- Treat the Driver and any other passengers with respect.
- Wear seatbelts — all passengers, every Trip. It’s the law in Guyana and it’s not negotiable.
- Secure children according to Guyanese road-safety rules. Booster seats are your responsibility.
- Leave the vehicle in the condition you found it.
What you must not do
- Abuse, harass, threaten, or discriminate against the Driver or anyone else. Zero tolerance.
- Carry weapons, illegal drugs, or hazardous materials.
- Consume alcohol in the vehicle, or open containers of alcohol.
- Smoke or vape.
- Exceed the vehicle’s seating capacity.
- Damage the vehicle, or leave it in a state that requires professional cleaning.
- Ask the Driver to break traffic laws.
Damage & cleaning fees
If you damage the vehicle or leave it requiring professional cleaning (vomit, large spills, blood), a Damage/Cleaning Fee of GYD 3,000 to GYD 20,000 may be charged based on severity, supported by photo evidence the Driver provides through the driver App. You’ll see the charge and can dispute it under Section 8.
These conduct rules exist for the benefit of Drivers. Drivers are third-party beneficiaries of this Section 10 and are entitled to enforce it in their own name where a Rider has breached it.
11. Safety & insurance
Driver vetting
Every Driver on the Platform goes through a pre-onboarding check run by GuyWay Inc.: in-person interview, valid Guyanese driver’s licence, Guyana Police Force clearance, insurance and vehicle fitness verification, and a safety training session. We can’t promise zero incidents — no transport operator can — but we do our checks properly and keep them on file.
Vehicle insurance
- For vehicles owned by GuyWay Inc., Inc. maintains commercial motor insurance covering third-party liability during active Trips, as required by Guyanese law.
- Drivers using their own personal vehicles must carry the minimum insurance required for the Platform before being approved — this is checked at onboarding and re-verified on renewal.
- GuyWay is not an insurer. We do not provide personal accident cover to Riders unless explicitly stated in a separate benefit you’ve accepted.
Emergencies
In an emergency, call 911 (Guyana Emergency Services) first, then tell us. The App has an in-ride emergency button that shares your live location with our Trust & Safety team. See Safety for how we handle incidents, investigations, and reporting.
12. App & content
Your licence to the App
GuyWay Corp. grants you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use the App on a device you own or control, for your personal, non-commercial use, in Guyana. That’s it.
What you may not do
- Reverse-engineer, decompile, or attempt to derive our source code.
- Copy, modify, or create derivative works of the App.
- Use the Platform to build a competing product, or to train machine-learning models.
- Scrape, spider, or automate access without our written permission.
- Remove or alter any proprietary notices, trademarks, or brand marks — including the GuyWay wordmark and the pin icon.
Our IP is ours
GuyWay, the GuyWay wordmark, the pin icon, the App, and all related trademarks, designs, and software are owned by GuyWay Corp. (or licensed to it). Nothing in these Terms transfers any ownership to you. Your limited licence above is the only right you get.
Feedback
If you send us product ideas or feedback, we can use it without obligation — no fee, no attribution, no confidentiality. We appreciate it, though.
13. Your ratings & reviews
After each Trip you can rate the Driver and leave a short comment. In support chats, you may also share photos or audio to help us resolve issues.
When you submit this kind of Content, you grant GuyWay Corp. a worldwide, royalty-free, transferable, sub-licensable licence to host, display, reproduce, modify (for moderation and format conversion only), and distribute that Content solely for:
- Running the Platform and its rating/trust systems;
- Improving safety and matching;
- Investigating incidents and resolving disputes;
- Complying with legal requests.
You promise that your Content is yours to share, doesn’t infringe anyone’s rights, isn’t defamatory, and isn’t false or misleading. We can remove Content that breaks these rules. Your rating history and comments may be shown to the Driver in anonymised, aggregated form.
14. When we can suspend you
We can restrict, suspend, or close your account at any time if:
- You break these Terms, the conduct rules in Section 10, or the law;
- Your payment method is repeatedly declined or a chargeback is filed in bad faith;
- We have reasonable grounds to suspect fraud, identity misuse, or abuse;
- Safety reports from Drivers or other Riders reach a threshold that our Trust & Safety team deems unacceptable;
- We must do so to comply with law or a regulator’s instruction.
Where feasible, we’ll tell you why and give you a chance to respond — but where there’s a safety, fraud, or legal reason not to, we may act first. You can close your account anytime from within the App; some records (like trip history and support tickets) are retained in line with our Privacy Notice.
15. Our liability (and yours)
This section limits what you can recover from us. It does not limit liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that can’t lawfully be limited — including non-waivable rights under the Consumer Affairs Act 2011.
Platform is “as is”
We provide the Platform as is and as available. We don’t promise it will be uninterrupted, error-free, perfectly accurate, or secure against every possible attack. We will, however, work hard to make it excellent — that’s the whole point.
What we are not responsible for
- The conduct, driving, or performance of any Driver during a Trip — they are independent contractors.
- Items you leave in a vehicle. We’ll help you contact the Driver; we can’t guarantee recovery.
- Delays, missed appointments, or lost business caused by traffic, weather, or a Trip taking longer than estimated.
- Third-party services we link to or integrate with (map providers, payment processors).
- Acts of God, war, strikes, outages, or anything else in Section 18.
The cap
Subject to the opening callout of this section, our total aggregate liability to you arising out of or relating to these Terms or your use of the Platform, for any and all claims combined, is capped at the greater of:
- the total Fares you paid us in the 12 months before the event giving rise to the claim; or
- GYD 100,000 (approximately USD $480).
No indirect, incidental, consequential, punitive, or special damages. No lost profits or lost data. This cap applies whether the claim is in contract, tort, statute, or anything else — to the maximum extent permitted by law.
Your indemnity
You’ll indemnify GuyWay (and our directors, employees, and affiliates) against third-party claims arising from: (a) your breach of these Terms; (b) your misuse of the Platform; (c) your breach of law; or (d) your Content being unlawful or infringing. We can control the defence of any such claim; you’ll cooperate.
16. Disputes & arbitration
You and we agree to resolve most disputes by individual, confidential arbitration in Barbados — not in court, and not in a class action. You have a 30-day opt-out window. Small-value claims stay in your local court.
Talk to us first
Before starting any formal proceeding, email legal@guyway.gy describing the dispute and what you’d like resolved. Most disputes close there. We commit to a written response within 30 days. If we can’t reach agreement, either of us can move to the steps below.
Small-value claims — your local court
For claims of GYD 50,000 or less (the Guyana Magistrates’ Courts’ civil-jurisdiction threshold), either of us can bring the claim in your local Magistrates’ Court of the appropriate magisterial district in Guyana. We’re not forcing you into arbitration for something this small — that’s the whole point of having a threshold.
Everything else — arbitration in Barbados
For every other dispute, you and GuyWay agree to resolve it by binding individual arbitration administered by the Barbados International Arbitration Centre (“BIAC”) in Bridgetown, under BIAC’s Arbitration Rules in force at the time the claim is filed. Key points:
- Seat: Bridgetown, Barbados.
- Language: English.
- One arbitrator, unless BIAC decides the amount in dispute justifies three.
- Governing law of the arbitration agreement: Barbados.
- Hearings can be held remotely, by video — you don’t need to travel to Barbados to participate.
- We’ll pay all BIAC filing fees above what you’d have paid to file in a Guyanese court, unless the arbitrator finds your claim was frivolous.
The arbitrator’s award is final and enforceable in any court with jurisdiction over the losing party. Awards can be enforced in Guyana under the Arbitration Act of Guyana and under the New York Convention.
Class-action & jury-trial waiver
You and GuyWay both waive:
- any right to participate in a class, collective, or representative action against the other;
- any right to have a jury hear the dispute.
Disputes must be brought individually. The arbitrator has no authority to consolidate claims from more than one person or to preside over any form of representative proceeding.
Opt out within 30 days
You can opt out of this arbitration agreement and the class-action waiver by emailing legal@guyway.gy within 30 days of creating your account. Subject line: “Arbitration Opt-Out”. Include your full name, the email on your account, and a clear statement that you’re opting out. No consequences — it won’t affect your account or your Rides. If you opt out, Section 17 (Governing law) still applies to you, and disputes above the small-value threshold go to the courts instead.
Governing law
For disputes against GuyWay Corp. (the App and the app licence): the laws of Barbados govern, without regard to conflict-of-laws rules.
For disputes against GuyWay Inc. (the Ride itself, fares, driver conduct, vehicles): the laws of Guyana govern, including the Consumer Affairs Act 2011 and other non-waivable consumer protections.
The courts of Guyana retain exclusive jurisdiction for any matter that cannot be arbitrated under Guyanese law (including matters of public policy).
17. Changes to these terms
We’ll update these Terms from time to time — to reflect new features, new payment methods, legal changes, or lessons we’ve learned. Here’s how it works:
- Minor, non-material changes (typo fixes, clarifications that don’t change your rights or duties) take effect when we post them. We’ll update the “Effective” date at the top.
- Material changes — anything that affects your rights, our liability, fees, the arbitration clause, or how your data is handled — take effect 30 days after we give you notice. We’ll notify you by:
- Email to the address on your account; and
- An in-app banner that stays up through the notice period.
- If you don’t want to accept a material change, close your account before the 30-day notice runs out. Continued use of the Platform after the notice period is your acceptance of the new Terms.
- Changes to the arbitration clause in Section 16 don’t apply to disputes that arose before the change — the prior version still governs those.
18. Everything else
Electronic communications
We communicate with you electronically — email, in-app notifications, SMS — and you agree this satisfies any legal requirement for writing or signature. Keep your contact details current.
Force majeure
Neither side is responsible for failure or delay caused by events beyond reasonable control: acts of God, natural disasters, floods, fire, pandemic, civil unrest, war, sabotage, government action, labour disputes, infrastructure outages, or failure of third-party services we depend on. Obligations are suspended for the duration.
Assignment
We can assign or transfer these Terms (in whole or part) to an affiliate, successor, or acquirer — including in connection with a merger, acquisition, or sale of assets. You can’t assign your account or these Terms without our written consent.
Severability
If any part of these Terms is held unenforceable, the rest still applies. A court or arbitrator may modify the unenforceable part to the minimum extent needed to make it enforceable — except the class-action waiver in Section 16, which, if held unenforceable as to a particular claim, removes that claim from arbitration entirely rather than being modified.
No waiver
If we don’t enforce a right right away, that’s not a waiver of it. Waivers must be in writing and signed by us.
Entire agreement
These Terms — together with our Privacy Notice, Cookies Notice, and any supplemental terms we make available (for GuyWay Business, Drivers, etc.) — are the entire agreement between you and us about the Platform. They replace any earlier version.
Third-party beneficiaries
Drivers are third-party beneficiaries of Sections 10 (conduct) and 13 (ratings) — meaning, they can enforce those sections against a Rider in their own name. No one else is a third-party beneficiary of these Terms.
Export controls & sanctions
You confirm you are not located in a country subject to comprehensive sanctions administered by the United States, the European Union, or the United Kingdom, and you’re not listed on any restricted-party list. You won’t use the Platform in breach of export control or sanctions laws.
